TAPE: Terms of Use

These Terms of Use (“Terms”) are a legally binding agreement between you and Tape Project, Inc. (“Tape,” “we,” “us,” or “our”) governing your access to and use of our websites, mobile apps, and related services (collectively, the “Services”). By using the Services, you agree to these Terms and our Privacy Policy. If you don’t agree, do not use the Services.
1) Eligibility & Accounts
- You must be 18+ to use the Services or create an account.
- Provide accurate, current, complete information and keep it updated.
- If you use the Services on behalf of an entity, you warrant you’re authorized to bind it.
- You’re responsible for your account and for keeping your credentials secure. Notify us promptly of any unauthorized use.
2) Our Content & Your License to Use It
All content we provide (site/app design, text, graphics, images, software, code, logos, trademarks, etc.) is owned by Tape or our licensors. We grant you a limited, personal, non‑transferable, revocable license to use the Services and view Tape content for non‑commercial use only. This does not grant you ownership.
3) Your Content & License to Tape
When you post, upload, or otherwise provide content (“Your Content”), you retain ownership. You grant Tape a worldwide, non‑exclusive, royalty‑free, perpetual, irrevocable license, with the right to sublicense, to use, host, store, reproduce, adapt, modify, publish, translate, create derivative works from, distribute, publicly perform, and display Your Content in any media now known or later developed for any purpose related to operating, improving, and promoting the Services. You also grant us the right to use your name, image, and likeness in connection with Your Content.
You represent and warrant that you own or have all necessary rights and permissions to grant this license; that Your Content does not infringe third‑party rights or violate law; and that it does not contain malware or harmful code. We may remove or refuse to display any content at our discretion.
4) Acceptable Use
You agree not to:
- Violate law or others’ rights; post illegal, infringing, deceptive, defamatory, obscene, hateful, harassing, or otherwise objectionable content.
- Advertise, solicit, or run promotions except as expressly permitted by Tape - for example, through our Certified Profile or other approved enterprise business features.
- Reverse engineer, scrape, crawl, mine, or otherwise misuse or interfere with the Services or their security.
- Collect users’ personal information without consent.
We may monitor, moderate, and remove content; and we may suspend or terminate accounts to protect users, our platform, or third parties.
5) Third‑Party Links & Services
The Services may link to or integrate third‑party sites, apps, ads, or services. We don’t control and aren’t responsible for them. Your dealings with third parties are solely between you and them.
6) DMCA: Copyright Infringement
We respect IP rights and comply with the DMCA. If you believe content infringes your copyright, send a notice titled “DMCA Copyright Infringement Notice” with: (a) your contact info; (b) identification of the copyrighted work; (c) the URL/location of the allegedly infringing material; (d) a statement of good‑faith belief; (e) a statement under penalty of perjury that your notice is accurate and you’re the owner or authorized agent; and (f) your physical or electronic signature.

If your material was removed and you believe this was a mistake, you may send a counter‑notice with the elements required by 17 U.S.C. § 512(g). We may restore content unless the complainant files an action seeking a court order.
7) Wireless / Messaging
Using the Services on a mobile device may incur carrier charges. By providing a phone number or enabling messaging features, you consent to receive service‑related communications (you can opt out where applicable).
8) Changes, Availability & Termination
We may change or discontinue any part of the Services at any time. We may suspend or terminate your access immediately (with or without notice) if you breach these Terms, pose risk, engage in fraud/abuse, or where required by law. You may stop using the Services at any time. Sections that by nature should survive (e.g., licenses, disclaimers, limitations, dispute resolution) survive termination.
9) DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, TAPE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON‑INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR‑FREE, SECURE, OR UNINTERRUPTED.
10) LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, TAPE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES—EVEN IF FORESEEABLE. IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TAPE (IF ANY) IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
11) INDEMNIFICATION
You will defend, indemnify, and hold harmless Tape and its affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Your Content, your use of the Services, your breach of these Terms, or your violation of law or third‑party rights.
12) Dispute Resolution; Class‑Action Waiver; Time Limit
Informal resolution first. Before filing a claim, you and Tape will try to resolve it by notifying the other party in writing and engaging in good‑faith discussions for 60 days (send notices to notice@ta.pe).
Binding arbitration. If unresolved, any dispute arising out of or related to these Terms or the Services will be resolved by binding arbitration administered by the AAA under its Commercial Arbitration Rules in New York County, New York, before a single arbitrator. YOU AND TAPE WAIVE JURY TRIALS AND CLASS ACTIONS. The Federal Arbitration Act governs arbitrability. Either party may bring qualifying disputes in small claims court. Issues of injunctive relief to protect IP or platform security may be brought in court.
LIMITATIONS PERIOD. TO THE FULLEST EXTENT PERMITTED BY LAW, ANY CLAIM MUST BE FILED WITHIN ONE (1) YEAR AFTER IT ACCRUES OR IT IS FOREVER BARRED.
13) Waiver of Injunctive or Other Equitable Relief
You agree that alleged losses related to your use of the Services are not irreparable and do not entitle you to an injunction or other equitable relief that would restrict the operation or development of the Services or Tape’s content, products, or IP.
14) Apple iOS Terms
If you access the app on an Apple device: (a) these Terms are between you and Tape (not Apple); (b) Apple has no obligation to provide support; (c) Apple is a third‑party beneficiary and may enforce these Terms; (d) your use must comply with App Store terms; (e) Tape (not Apple) is responsible for addressing any claims related to the app and for IP infringement claims.
15) Miscellaneous
- Governing Law. New York law (without regard to conflicts rules) governs, except the FAA governs arbitrability.
- Assignment. We may assign these Terms; you may not assign without our prior written consent.
- Severability. If any term is unenforceable, the rest remains in effect.
- No Waiver. Failure to enforce isn’t a waiver.
- Entire Agreement. These Terms are the entire agreement regarding the Services (supplemented by any posted additional terms).
- Notices. We may notify you via the Services, email, or by posting.
- Connectivity. You’re responsible for devices, software, and Internet/mobile fees.
- Export. You must comply with applicable export and sanctions laws.
16) Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via email or in‑app notice and will apply prospectively. Your continued use after the effective date means you accept the updated Terms.
